Terms of Service

Effective date: 29 July 2026 · Last updated: 29 July 2026

1. Agreement

These Terms of Service (“Terms”) govern your use of WasitPay, the escrow-checkout technology platform available at wasitpay.ma and app.wasitpay.ma (the “Services”), operated by Bluenova Labs SARL, IMM 7, Rue Moulay Rachid, Appt N°10, 4ᵉ étage, Hassan, Rabat 10020, Morocco (“WasitPay”, “we”, “us”). By creating an account or using the Services you accept these Terms. If you do not accept them, do not use the Services.

2. What WasitPay is — and is not

WasitPay is a technology and orchestration platform. WasitPay is not a bank and not a licensed payment institution. All payment processing, customer funds custody, refunds, and cash-in/cash-out services are performed by our regulated payment partner, a payment institution licensed and supervised by Bank Al-Maghrib. WasitPay does not hold client funds and does not provide banking, credit, investment, or currency-exchange services.

WasitPay provides the transaction workflow that coordinates an escrow-style purchase between a buyer and a seller: Pay → Ship → Confirm → Release. Funds paid by the buyer are received and held by the regulated payment partner and released to the seller when the conditions of the transaction are met, or returned to the buyer in accordance with the dispute and refund rules in these Terms and in the transaction flow.

3. Accounts

  • Buyer accounts are personal accounts. They can pay into escrow transactions and cannot sell.
  • Seller accounts are business accounts. They can create transactions and receive payouts, and must complete business verification (KYB).
  • You must be at least 18 years old and have legal capacity to contract. Information you provide must be accurate and kept up to date.
  • Identity verification (KYC) and business verification (KYB) are performed through our regulated payment partner and are a condition of using payment-related features. We may refuse, suspend, or close accounts that fail verification or present fraud or compliance risk.
  • You are responsible for keeping your credentials and one-time passcodes confidential. Notify us immediately of any suspected unauthorized use.

4. Escrow transactions

  1. A seller creates a transaction describing the goods or services and the price in Moroccan dirhams (MAD).
  2. The buyer accepts and pays using a payment method made available through our regulated payment partner (including payment reference codes payable at authorized agent locations).
  3. The seller ships or delivers as described. Shipment and delivery information may be declared by the parties or verified through carrier integrations where available.
  4. The buyer confirms receipt, or the transaction resolves according to its configured deadlines. Every transaction state carries a deadline with a defined default outcome; parties are notified before adverse deadlines take effect.
  5. On release, funds are paid out to the seller by the regulated payment partner, net of applicable WasitPay fees.

Buyers and sellers contract with each other for the underlying sale. WasitPay is not a party to the sale, does not own or inspect the goods, and does not guarantee their quality, safety, or legality.

5. Fees

WasitPay charges the seller a service fee per completed transaction. Fees are displayed inclusive of applicable Moroccan VAT before the transaction is created. The fee schedule in force is shown in the Services and may be updated with prior notice; updates apply to transactions created after they take effect.

6. Disputes, cancellations, and refunds

  • A buyer or seller may open a dispute on a transaction within the windows shown in the transaction flow. One dispute may be opened per transaction, and a transaction cannot be simultaneously disputed and cancelled.
  • While a dispute is open, release of funds is suspended.
  • Dispute outcomes may include full release, full refund, or a partial split, applied by the regulated payment partner on WasitPay’s instruction according to the resolution.
  • Refund method and timing depend on the original payment method and the regulated payment partner’s processes.
  • Nothing in these Terms limits rights that consumers hold under Moroccan Law No. 31-08 on consumer protection.

7. Acceptable use

You may not use the Services to sell or pay for illegal goods or services; to launder money or finance terrorism; to infringe intellectual-property rights; to defraud, harass, or deceive; to interfere with or probe the security of the Services; or to create accounts with false identities. We may suspend or terminate accounts, delay releases, and report activity to competent authorities where required by law.

8. Communications

You agree to receive service communications relating to your account and transactions — including one-time passcodes and status notifications — via WhatsApp, email, or in-app messages, using the contact details you provide. Message delivery depends on third-party networks and is not guaranteed; keep your contact details current.

9. Intellectual property

The Services, including software, design, and the WasitPay name and marks, are owned by Bluenova Labs SARL or its licensors. We grant you a limited, non-exclusive, non-transferable licence to use the Services for their intended purpose. No other rights are granted.

10. Availability, warranties, and liability

The Services are provided “as is” and “as available”. To the maximum extent permitted by Moroccan law, we disclaim implied warranties and are not liable for indirect or consequential losses, loss of profit, or losses arising from the underlying sale between buyer and seller, from third-party payment, messaging, or shipping providers, or from events beyond our reasonable control. Nothing in these Terms excludes liability that cannot lawfully be excluded.

11. Termination

You may close your account at any time; obligations from transactions already in progress survive until resolved. We may suspend or terminate access for breach of these Terms, legal or compliance reasons, or extended inactivity, with notice where practicable.

12. Governing law and disputes with WasitPay

These Terms are governed by the laws of the Kingdom of Morocco. Disputes between you and WasitPay that cannot be resolved amicably fall under the jurisdiction of the competent courts of Rabat, without prejudice to mandatory consumer-protection rules on jurisdiction.

13. Changes and contact

We may amend these Terms; material changes will be notified through the Services before they take effect. Continued use after the effective date constitutes acceptance. Contact: [email protected] · Bluenova Labs SARL, IMM 7, Rue Moulay Rachid, Appt N°10, 4ᵉ étage, Hassan, Rabat 10020, Morocco.
